HaVACE First Annual General Meeting

The Local Group promoting community enterprise in the rural area east of Andover has an important New Year meeting with its first AGM on Wednesday 25th January 2012 at 8.00pm at St Mary Bourne Village Centre Committee Room (Bourne Meadow, SP11 6BE - come in through the main entrance, then up the stairs at the left). 
The interim trustees (Martin Coppen, acting chairman; Pat Jones, acting minute secretary; James Croser, acting honorary Treasurer; David Ankcorn; John Scott (Forton); Revd John Scott) have set up a bank account and the mechanisms of a charitable association. 
So all members and would-be members* are very warmly invited to come to elect the official trustees and to hear about the progress made in 2011 and plans for 2012. Any member may stand to be a trustee.
Refreshments will be enjoyed. Please do come and support!

Agenda for Meeting 4

HaVACE – Hill & Valley Area Community Enterprise    
Invitation to General Meeting 4, Wednesday 12th October 2011
8.00pm at Hurstbourne Priors Village Hall

Directions: Hurstbourne Priors Village Hall is on the west side of the B3048 valley road, north of the crossroads with the B3400 Basingstoke-Andover highway, south of the avenue to the church. There is some parking in front of the Hall, or down the road on the opposite side at the entrance to the Cricket Ground (bring a torch in case you need to park there).

The Aims of this meeting are:–
1.    To establish HaVACE formally as a charitable association in order to support and develop its work for the benefit of the area. Once this is done, we shall be able to open a bank account (we already have a grant of £150 for the work) and start applying generally for grants for our projects.
2.    To hear short reports on the progress of initiatives which are already running.
3.    To consider possible new initiatives.

Agenda
1.    Establish HaVACE as a charitable association.
    a.    The Meeting is asked to adopt the Constitution proposed by the sub-group listed in the notes of the last meeting. The text is published on http://havace.blogspot.com/p/draft-constitution.html and attached as Appendix 1, based on that for similar organisations following a Charity Commission template.
        i.    Explanation and questions.
        ii.    Vote of those present.
        iii.    Those who are prepared to stand as interim trustees until the first Annual Meeting in January 2012 sign the constitution as Founder Members. All the sub-group are prepared to stand as Founder Members, but others present may also do so, or any who though absent have indicated beforehand their willingness to sign. Potential trustees will be asked to complete a form declaring that they are not disqualified from undertaking such a responsibility (Charity Commission requirement).
    b.    The constitution establishes a membership. Anyone who wishes to act in this capacity is asked to complete an application which will be available at the meeting. Members of HaVACE are supported by the organisation in any project or research work they undertake in its name, but will also be responsible to the trustees.
    c.    Others who wish to be may be supporters, without being members or trustees.

2.    Brief Reports on Current Initiatives.

    c.    Village Agents
    d.    Parish Nursing Scheme: meeting with Parish Nurse, Jill Eveleigh, Thursday 20th      October, 4.00pm The Vicarage.

Background information:

What is required ?
The Charity is managed by a committee of Trustees, as a Trustee you would be responsible, along with your fellow trustees for the management of HaVACE. The Trustees are required to meet at least three times a year, attend the AGM although it could be more frequent, it is unlikely to be much more than once a quarter. The Trustees are elected (after they have agreed to stand) by the members at the Annual General Meeting. Please have a look at the charity Commission website if you would like more details of what is involved with being a Trustee -  www.charitycommission.gov.uk

Restrictions
Generally speaking anyone who is 18 years or over, is a member of the association can stand for election as a trustee. However, certain people are legally disqualified from continuing to be, or from becoming a trustee. Obviously this will only affect a small minority of people. People who are disqualified are those who
have been convicted at any time of any offence involving deception or dishonesty, unless the conviction is legally regarded as spent; or are un-discharged bankrupts; or have made compositions or arrangements with their creditors from which they have not been discharged; or have at any time been removed by the Commissioners or by the court in England, Wales (or by the Court of Sessions in Scotland) from being a trustee because of misconduct; or are disqualified from being company directors; or are subject to an order made under s. 429(2) (b) of the Insolvency Act 1986.

Appointing and Electing  a Trustee
Trustees should be selected for what they can contribute to the charity. They should not be appointed for their status or position in the community alone. Trustees must be able - and willing - to give time to the efficient administration of the charity and the fulfilment of its trusts. They should be selected on the basis of their relevant experience and skills and must be prepared to take an active part in the running of the charity. They can be users of the charity services if arrangements are made to avoid conflicts of interest such as trustees voting for something from which they will personally and directly benefit.

Liability
Some charity trustees, and people thinking about becoming trustees, are nowadays influenced by the thought that they might be "personally liable" if things go wrong with the charity. What they fear is that, if they make a mistake in the running of the charity or if it gets into debt, they might have to make good any loss or shortfall out of their own private resources. While for a few people this can be a real worry that leads them to resign their trusteeship, it is in fact extremely rare for a trustee to be made "personally liable" in this way. Generally the law protects trustees who have acted reasonably from the consequences of honest mistakes, and trustees can take their own measures to reduce the risk still further. Hi there,
The oil price for this week has only just come through - it is 57.9 ppl, so my apologies for the lateness this week.

As a comparison Boiler Juice are charging 59.67 ppl.

In both cases VAT needs to be added at 5% so don't forget that!

There are only four weeks of oil buying time before Christmas, so don't get caught out!

If you are paying by credit card then they will charge you 2% extra, so beware - I am currently trying to establish how big an issue this is for the syndicate.

You will have to pay VAT at 5% to all suppliers.

I am also looking for some feed back as to how the syndicate is fairing - I know that in theory it should be saving people money, however it would be interesting to know more. Therefore if you could let me know the following I would be very appreciative:

1. Have you ordered oil through the syndicate?

2. If so how much did you order and did you save money?

3. Is the service from Ford Fuels good?

4. Ford Fuels have just started charging 2% on credit card payments - does this affect you?
